Terms of Service

These Terms of Service ("Terms") govern your use of the Mirra website (mirrabooth.com), the Mirra admin dashboard (admin.mirrabooth.com), the Mirra photo booth software, and any related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms.

"Mirra," "we," "us," and "our" refer to Mirra Technologies Ltd., a corporation incorporated under the laws of the Province of Ontario. "You" and "your" refer to the person or entity using the Service.

1. Eligibility

You must be at least 18 years old and capable of entering into a binding agreement to use the Service. By using the Service, you represent that you meet these requirements.

2. Accounts

When you create an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@mirrabooth.com if you suspect unauthorized access.

3. Booth Software License

Your use of the Mirra photo booth software is governed by the Software License Agreement presented during installation. Key terms: the software is licensed (not sold) for use on one authorized booth unit, may not be copied or reverse-engineered, and remains the intellectual property of Mirra.

4. Purchases and Payments

All booth purchases, subscriptions, and service fees are processed through our designated payment processors. Prices are in USD unless otherwise stated. All sales are final unless otherwise specified in a written agreement. Deposits are non-refundable. Balance payments are due as specified in your order confirmation or contract.

5. Booth Operation

If you operate a Mirra booth, you are solely responsible for: compliance with all local, provincial/state, and federal laws applicable to your operation; obtaining any required business licenses, permits, or insurance; the safety and proper handling of the equipment; the privacy and experience of guests who use your booth; and payment of all taxes on revenue earned through your booth. Mirra is not responsible for your business operations, tax obligations, or legal compliance. This section applies to booths you have purchased and operate yourself. Where Mirra places and runs a booth in a venue, Mirra operates it and carries these responsibilities, and the arrangement with that venue is governed by a separate written agreement rather than these Terms.

6. Guest Privacy

The Mirra booth captures photos of guests at events. Where you operate the booth, you are the data controller for those images, and you are responsible for informing guests that photos are being taken, ensuring appropriate signage wherever the booth is present, and complying with all applicable privacy and data protection laws in your jurisdiction. Where Mirra places and runs the booth itself, Mirra carries those responsibilities. Mirra processes guest photos solely for the purpose of printing strips and delivering digital copies via QR code. Photos are stored on Mirra's cloud infrastructure for a maximum of 36 hours, after which they are automatically deleted. Mirra does not sell or share guest photos, and does not use them for any purpose beyond delivering the photo strip, except where the people in a photo have given their permission.

7. Acceptable Use

You agree not to: use the Service for any illegal purpose; attempt to gain unauthorized access to any part of the Service; interfere with or disrupt the Service or its infrastructure; reverse engineer, decompile, or disassemble the software; use the Service to transmit malware, spam, or harmful content; or resell, sublicense, or redistribute the Service without written consent.

8. Intellectual Property

All content, software, designs, logos, and materials provided by Mirra are our intellectual property or the property of our licensors. You may not use our trademarks, logos, or branding without prior written permission. The Mirra name, aperture logo, and all associated branding are trademarks of Mirra.

9. Third-Party Services

The Service integrates with third-party services (payment processors, cloud storage, analytics, CRM). Your use of these services is subject to their own terms and privacy policies. Mirra is not responsible for the availability, accuracy, or conduct of third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIRRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO MIRRA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mirra and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your operation of a booth, or your breach of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive (including Disclaimer, Limitation of Liability, and Indemnification).

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a new "last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada. Any disputes arising under these Terms shall be resolved in the courts located in Toronto, Ontario.
